Terms of Service

By downloading, accessing, or using Onda: Recharge, Focus, Sleep (the “App”), you agree to be bound by these Terms. If you do not agree, do not use the App. If you are using the App on behalf of someone else, you confirm you are authorised to accept these Terms for them.

Onda offers evolving soundscapes, binaural beats, ambient and nature textures, and breathing rituals for recharge, focus, relaxation, and sleep routines. Audio is generated on your device. Account services, subscription verification, and analytics use network connections.

Onda is a wellness app, not a medical device. We do not promise a particular improvement in sleep, concentration, mood, productivity, or health. Individual experiences vary. The app does not diagnose, treat, cure, or prevent any condition.

Your safety comes before the experience. By using the App you acknowledge and agree to the following.

Not a substitute for care

The App is not medical, psychological, psychiatric, or financial advice, and must not be used to diagnose or treat any condition. Never disregard or delay professional advice because of something in the App. If you are experiencing a medical or mental-health emergency, contact your local emergency services.

Sound, breathing, and headphones

Binaural audio requires stereo headphones. Follow breath pacing only at a comfortable pace; do not force your breathing. If you have a condition that may be affected by sound or breathing exercises, ask a qualified health professional whether they are suitable for you. Stop if you feel unwell, dizzy, or disoriented.

Attention and volume

Do not use wind-down or relaxation sessions while driving, cycling, operating machinery, or doing anything that needs your full attention. Keep the volume at a comfortable level; prolonged exposure to loud audio can damage your hearing.

You must be at least 16 years old, or the age of digital consent in your country, and have the legal capacity to enter into these Terms. If you are a minor in your jurisdiction, you may only use the App with the involvement and consent of a parent or legal guardian, who agrees to these Terms on your behalf.

Account sign-in and subscription access are separate. If you sign in with Apple or Google, keep access to your sign-in account secure. An Onda account does not itself provide a paid membership. For account and data deletion, use Delete account if available in your version, or contact us using the instructions in our Privacy Policy.

You retain your rights to personal content you provide, including any saved goals, affirmations, or Vision content from earlier versions. You grant us the limited permission needed to store, sync, and process that content to provide the relevant feature, as described in our Privacy Policy. That can involve service providers; it does not give us permission to publish your personal content as advertising.

You are responsible for ensuring content you provide is lawful and does not infringe another person’s rights. Do not include sensitive information in content you submit for automated generation.

You agree not to:

• use the App for any unlawful purpose, or in breach of these Terms or applicable law;
• copy, modify, reverse-engineer, decompile, or attempt to extract the source code of the App, except where that restriction is prohibited by law;
• resell, sublicense, rent, or commercially exploit the App or its content without our written permission;
• interfere with, disrupt, or attempt to gain unauthorised access to the App, our servers, or another user’s account.

Access to Onda’s soundscapes and rituals requires an auto-renewing subscription, including any eligible trial period. All purchases are processed by Apple through your App Store account, under Apple’s terms — we do not process payments ourselves.

• Price and billing. The price of each plan is shown in the App and confirmed at the point of purchase in your local currency. Payment is charged to your Apple ID at confirmation.
• Free trial. Trial availability and length depend on the offer and your eligibility and are shown before purchase. Where a free trial is offered, it converts to a paid subscription unless you cancel at least 24 hours before it ends. If you buy while a free trial is running, the unused portion of the trial is forfeited.
• Auto-renewal. The subscription renews automatically for the same period at the then-current price unless you turn off auto-renew at least 24 hours before the end of the current period. Your account is charged for renewal within 24 hours before the period ends.
• Managing and cancelling. You manage or cancel your subscription in the App Store: Settings → your name → Subscriptions on your device. Deleting the App does not cancel a subscription.
• Refunds. We cannot issue refunds for App Store purchases. All refund requests are handled by Apple under Apple’s Media Services terms. Nothing here limits any non-waivable statutory refund or cancellation rights you have as a consumer.
• Price changes. If we change subscription prices, the change applies to future billing periods, and Apple will seek your consent where required before a renewal at a higher price.

The App itself — its software, audio engine, generated sounds, design, brand, name, and the “Onda” marks — belongs to us or our licensors and is protected by intellectual-property laws. We grant you a personal, limited, non-transferable, revocable licence to use the App for your own non-commercial use, subject to these Terms and Apple’s Usage Rules. This licence does not transfer any ownership to you.

The App uses Apple for distribution and billing, Supabase for account services, Superwall for analytics and subscription reporting, and other providers for applicable features as described in our Privacy Policy. Your use of those services is also subject to their terms and privacy policies, and we are not responsible for them. We are not liable for outages or data loss caused by a third-party provider, though we will act reasonably to restore service.

To the maximum extent permitted by law, the App is provided “as is” and “as available”, without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranty that the App will be uninterrupted, error-free, or will achieve any particular result. Some jurisdictions do not allow the exclusion of implied warranties, so some of these exclusions may not apply to you, and you may have rights that these Terms cannot override.

To the maximum extent permitted by law, Onda: Recharge, Focus, Sleep and Stefan Andrei will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, data, goodwill, or other intangible losses, arising out of or relating to your use of (or inability to use) the App — including any reliance on its content, frequencies, or affirmations — even if we have been advised of the possibility of such damages.

To the maximum extent permitted by law, our total liability for all claims relating to the App is limited to the greater of (a) the amount you paid us (or, for App Store purchases, paid through Apple for the App) in the 12 months before the claim arose, or (b) USD 50.

Nothing in these Terms excludes or limits liability that cannot be excluded by law — such as liability for death or personal injury caused by negligence, for fraud, or for your non-waivable statutory consumer rights.

To the extent permitted by law, you agree to indemnify and hold harmless Onda: Recharge, Focus, Sleep and Stefan Andrei from any claims, damages, liabilities, and reasonable expenses (including legal fees) arising out of your misuse of the App, your violation of these Terms, or your violation of any law or the rights of a third party.

You may stop using the App at any time and delete it. We may suspend or end your access if you breach these Terms or use the App in a way that could harm other users, us, or a third party. Sections that by their nature should survive termination — ownership, disclaimers, limitation of liability, indemnification, and governing law — will continue to apply.

Nothing in these Terms removes the mandatory consumer protections that apply in your country of residence. Disputes may be brought before the courts that have jurisdiction under applicable law. Any right you have to bring proceedings in your local courts is preserved.

Please contact us if a problem arises so we can try to resolve it. Contacting us does not limit your right to seek a remedy under applicable law.

These Terms are between you and Stefan Andrei only, and not with Apple. Apple is not responsible for the App or its content. The following terms apply because you obtained the App from the Apple App Store:

• Scope of licence. The licence granted to you is limited to a non-transferable licence to use the App on any Apple-branded products that you own or control, as permitted by the Usage Rules in the Apple Media Services Terms and Conditions.
• Maintenance and support. We, not Apple, are solely responsible for providing any maintenance and support for the App. Apple has no obligation to furnish any maintenance or support services.
• Warranty. We are solely responsible for any product warranties, whether express or implied by law, to the extent not effectively disclaimed. If the App fails to conform to any applicable warranty, you may notify Apple, and Apple may refund the purchase price (if any); to the maximum extent permitted by law, Apple has no other warranty obligation for the App.
• Product claims. We, not Apple, are responsible for addressing any claims relating to the App, including product-liability claims, claims that the App fails to conform to a legal or regulatory requirement, and claims under consumer-protection or similar law, including in connection with the App’s use of the HealthKit or similar frameworks if ever adopted.
• Intellectual property. If a third party claims the App infringes its intellectual-property rights, we, not Apple, will be solely responsible for the investigation, defence, settlement, and discharge of that claim.
• Legal compliance. You represent that you are not located in a country subject to a U.S. Government embargo or designated as “terrorist supporting”, and that you are not on any U.S. Government list of prohibited or restricted parties.
• Third-party beneficiary. Apple and its subsidiaries are third-party beneficiaries of these Terms and, upon your acceptance, have the right to enforce them against you as a third-party beneficiary.
• Contact. Questions, complaints, or claims about the App should be directed to us at stefanandrei123321@gmail.com.

We may update these Terms from time to time. When we do, we will change the effective date above and, for material changes, give notice in the App. If you keep using Onda after the change takes effect, you accept the updated Terms.

• Severability. If any provision is found unenforceable, the rest of these Terms stay in effect and the provision is limited to the minimum extent necessary.
• No waiver. If we do not enforce a right, that is not a waiver of it.
• Assignment. You may not assign these Terms; we may assign them in connection with a merger, acquisition, or sale of assets, on notice to you.
• Entire agreement. These Terms and the Privacy Policy are the entire agreement between you and us about the App and replace any prior understanding.
